1. Agreement to Terms
By accessing and using this website or engaging with Mosaic Forge Studio for services, you agree to be bound by these terms and conditions. If you do not agree to these terms, please do not use our services.
2. Services Provided
Mosaic Forge Studio provides product design, UX research, custom software development, and related professional services as outlined in project proposals and statements of work. All services are provided on a time-and-materials or fixed-scope basis as agreed in writing.
3. Engagement and Proposals
Initial consultations are free. Formal project proposals outline scope, deliverables, timeline, and fees. Proposals are valid for 30 days unless otherwise stated. Engagement begins when both parties sign the statement of work. Changes to scope, timeline, or deliverables require written approval and may impact fees and timeline.
4. Payment Terms
Fees are invoiced as specified in the statement of work. Unless otherwise agreed, invoices are due within 30 days of invoice date. We reserve the right to pause work on projects with outstanding invoices beyond 15 days past due. Late payments may incur interest charges at 1.5% per month.
5. Intellectual Property
Upon receipt of full payment, all custom work, designs, code, and deliverables created as part of the engagement become the property of the client. Work-in-progress materials and pre-existing tools or templates remain our property. If work is not completed due to project cancellation, we retain ownership of incomplete deliverables.
6. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the engagement. We will not disclose client information or project details without written permission, except as required by law. Client may allow use of project as case study (anonymously or with attribution) unless otherwise requested in writing.
7. Warranties and Limitations
We warrant that all services will be performed in a professional and timely manner consistent with industry standards. However, we do not guarantee specific business outcomes or results. We are not liable for losses, damages, or interruptions of business resulting from use of the software or our services.
8. Limitation of Liability
Our liability for any claim arising from services shall not exceed the total fees paid for the project that gave rise to the claim. In no event shall either party be liable for indirect, incidental, consequential, or punitive damages.
9. Project Timeline and Delays
We make reasonable efforts to meet agreed timelines. However, delays due to client feedback, requirement changes, or external factors beyond our control may require timeline adjustments. We will notify you promptly of any anticipated delays.
10. Cancellation and Termination
Either party may terminate an engagement with written notice. Upon termination, you are responsible for payment of all work completed through the termination date, plus reasonable costs associated with winding down the project. Cancellation within 30 days of project start may incur a cancellation fee of 25% of total project cost.
11. Third-Party Services and Integrations
If your project involves integrations with third-party services (APIs, libraries, platforms), you are responsible for reviewing and complying with their terms of service. We assume no liability for issues arising from third-party services or APIs.
12. Client Responsibilities
You are responsible for:
- Providing necessary access, data, and resources for project completion
- Making timely decisions and approvals on project matters
- Securing necessary approvals from your stakeholders
- Maintaining backups of data and systems during migration projects
13. Testing and Acceptance
Software delivered is tested against agreed-upon acceptance criteria. You will have a reasonable acceptance period (typically 5–10 business days) to test deliverables and report issues. Once accepted or 10 days have passed without objection, deliverables are considered complete and accepted.
14. Post-Launch Support
Post-launch support (bug fixes, minor optimizations, monitoring) is typically included for 30 days following go-live. Extended support, maintenance, and ongoing development are available under separate support agreements.
15. Governing Law
These terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to conflicts of law principles. Any disputes shall be subject to the jurisdiction of the courts of England and Wales.
